Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Volworks website, platform, applications, analytics, reports, tools, and related services (collectively, the “Services”).

The Services are provided by Volworks LLC, doing business as Volworks (“Volworks,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you must discontinue use of the Services.

Volworks provides an options-focused investment analytics and management platform for investors, financial advisors, family offices, institutions, and other professional users.

The Services include proprietary investment analytics, options strategy screening, payoff modeling, portfolio and position management, AI-powered analytical explanations, alerts, reports, and related research and advisory services.

Features may include CER™ (Contextual Expiration Return), OPMS™ (Option Position Management Solution), VERA™ AI Analyst, and the Volworks Payoff Tool.

The Services may also support brokerage account connectivity and synchronization of portfolio positions and transactions through third-party providers.

Features and functionality may change over time.

Investing in securities and options involves risk. Options strategies may involve substantial losses, assignment, early exercise, expiration risk, liquidity constraints, and other risks.

Volworks provides analytical tools, estimates, statistical information, models, scenarios, and other decision-support information. These tools are not guarantees of investment performance, profits, income, risk reduction, or any particular outcome.

Historical results, probability estimates, rankings, projections, and modeled scenarios do not guarantee future results. Actual outcomes may differ materially from estimates or model outputs.

You are responsible for evaluating the risks and suitability of investment decisions for your circumstances and for verifying material information before acting on it.

The platform's general analytics, automated outputs, research, and AI-generated information are intended to support investment analysis and decision-making. They should not be treated as individualized investment advice solely because they are presented through the Services.

Volworks may separately provide advisory or consulting services under written agreements. Any such services will be governed by the applicable agreement and any applicable regulatory requirements. Nothing in these Terms overrides obligations that Volworks has under applicable law or a separate client agreement.

Users remain responsible for their investment decisions except to the extent otherwise established by applicable law or an applicable written agreement.

The Services may rely on market data, historical information, brokerage data, third-party data feeds, statistical models, calculations, and automated systems.

Although Volworks seeks to provide useful and reliable information, data may be delayed, incomplete, inaccurate, unavailable, or affected by technical issues or limitations in the underlying sources.

Payoff calculations, probability estimates, rankings, alerts, and other analytical outputs depend on underlying data, assumptions, and methodologies. AI-generated explanations may contain errors or omit relevant information.

Volworks does not guarantee that all information or outputs will be accurate, complete, current, or suitable for a particular purpose. You should independently verify material information before relying on it for an investment decision.

The Services may connect with brokerage firms, custodians, market data providers, and other third-party services.

Such connections may require separate authorization and may be subject to third-party terms, permissions, and privacy policies. Data synchronization may be delayed, interrupted, incomplete, or unavailable.

Volworks does not control the availability or performance of independent third-party services and does not guarantee that brokerage information will update at any particular time.

Unless expressly agreed otherwise in a separate written agreement, Volworks does not act as your broker or custodian. Any trading functionality made available through the Services will be subject to its applicable authorization requirements and terms.

You remain responsible for your brokerage accounts, account permissions, and transactions.

You agree to provide accurate information when creating or maintaining an account and to take reasonable steps to protect your account credentials.

You may not use the Services unlawfully, attempt unauthorized access, interfere with their operation or security, or copy, scrape, reverse engineer, redistribute, or commercially exploit proprietary aspects of the Services without appropriate authorization, except where applicable law expressly permits.

Volworks may restrict or suspend access when reasonably necessary to address security concerns, unlawful activity, material violations of these Terms, or other legitimate operational requirements, subject to applicable law and any separate agreement.

The contents of the Services, including software, website design, text, graphics, images, analytical tools, reports, and other content, are owned by or licensed to Volworks and its clients or partners and are protected by applicable intellectual property laws.

Volworks®, VERA™, OPMS™, and CER™ are trademarks or intellectual property associated with Volworks.

Except as expressly authorized, you may not reproduce, distribute, modify, sell, sublicense, or commercially exploit Volworks intellectual property.

These Terms do not transfer ownership of intellectual property to you.

Certain Services may require payment, a subscription, or a separate written agreement. Applicable pricing, billing, renewal, and cancellation provisions will be communicated through the relevant offering or agreement.

Where a separate written agreement governs a subscription, advisory engagement, or other service, that agreement will control to the extent of any conflict.

Volworks may update, maintain, modify, suspend, or discontinue features of the Services as reasonably necessary to operate and improve the platform, subject to applicable law and any separate written agreement.

Volworks does not guarantee uninterrupted or error-free availability of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VOLWORKS DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

VOLWORKS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ALWAYS AVAILABLE, OR THAT DATA, CALCULATIONS, AI OUTPUTS, OR OTHER INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSSES ARISING FROM RELIANCE ON ANALYTICAL OUTPUTS, MARKET DATA, OR THIRD-PARTY SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLWORKS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID DIRECTLY TO VOLWORKS FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by law and do not override obligations or liabilities that cannot lawfully be excluded or limited. Any separate written agreement may establish different provisions.

To the extent permitted by applicable law, you agree to indemnify Volworks against third-party claims and reasonable expenses arising from your unlawful use of the Services, material violation of these Terms, or infringement of another person's rights.

This provision does not apply to the extent prohibited by applicable law.

The Privacy Policy describes how Volworks collects, uses, and protects information. Additional disclosures or consents may apply when using particular features or connecting brokerage accounts.

You may discontinue use of the Services at any time, subject to applicable contractual obligations.

Volworks may suspend or terminate access when reasonably necessary for security, legal compliance, material breach, or other legitimate operational reasons, subject to applicable law and any separate written agreement.

Provisions that by their nature should survive termination will remain effective to the extent permitted by law.

Volworks may update these Terms from time to time. The revised version will be posted on the website with an updated effective or revision date.

Changes will take effect upon posting or on a later stated date, subject to any notice or consent requirements imposed by applicable law.

These Terms will be governed by the laws of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute resolution provisions must be consistent with applicable law and any separate written agreement.

If any provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.
